Terms & Conditions
By accessing or using Orbis’ platform, integrations, dashboards, or related services (“Services”), you agree to be bound by these Terms.
1. Scope of Services
Orbis provides behavioural intelligence infrastructure designed to integrate with enterprise learning systems, including LMS and HRMS platforms.
Orbis does not replace existing learning systems but provides analytics, behavioural monitoring, and performance insight layers on top of such systems.
2. Eligibility
The Services are intended for use by enterprises, institutions, and authorised organisational representatives. Access must be provisioned by an authorised administrator within your organisation.
3. Enterprise Accounts
You are responsible for:
Maintaining confidentiality of account credentials
Ensuring authorised access only
Compliance with applicable internal IT and data governance policies
Orbis may suspend access in cases of misuse, security risk, or breach of agreement.
4. Data Processing & Ownership
Your organisation retains ownership of all data processed through Orbis.
By using the Services, you grant Orbis permission to process data solely for:
Behavioural analytics
Performance modelling
System improvement
Service delivery
Orbis does not sell customer data.
Data handling practices are further detailed in our Privacy Policy and Data Processing Addendum (DPA).
5. Security & Compliance
Orbis maintains enterprise-grade security standards, including:
Encrypted data transmission
Role-based access controls
Secure infrastructure environments
Security practices evolve in accordance with industry standards and compliance requirements.
6. Fees & Contracts
Orbis operates under annual or multi-year enterprise agreements.
Payment terms, pricing structure, service levels, and renewal conditions are governed by the executed commercial agreement between Orbis and your organisation.
Unless otherwise stated in your agreement, fees are non-refundable.
7. Intellectual Property
All software, models, analytics frameworks, and behavioural scoring methodologies remain the intellectual property of Orbis.
Customer data remains the property of the respective organisation.
8. Service Availability
Orbis aims to maintain high service reliability.
However, the Services are provided on an “as available” basis. Orbis shall not be liable for indirect, incidental, or consequential damages arising from use of the Services.
Specific uptime commitments, if any, are governed by contractual SLAs.
9. Termination
Access to Services may be terminated:
Upon expiration of contract term
For material breach
For non-payment
As defined in the governing enterprise agreement
Data retention policies post-termination are defined in your contractual agreement.
10. Changes to Terms
Orbis may update these Terms periodically. Continued use of the Services constitutes acceptance of updated terms.
11. Governing Law
These Terms are governed by the laws of India, unless otherwise specified in your enterprise agreement.
